Bylaws are the rule book for how KNA operates.
Bylaws
We’re Updating the Bylaws
KNA's bylaws haven't been updated since 2012. Over the past several months, the governance committee has been reviewing every section, gathering community input, weighing feedback, and drafting revisions that better reflect how our neighborhood association operates today.
Tell us what you think of the changes by filling out the Public Feedback Survey.

FAQS
-
Bylaws are the rules a group or organization writes down for how it will operate internally. They help guide who’s in charge of what, how meetings work, and what members can expect. Think of them as KNA’s operating manual.
-
Bylaws outline how KNA works and gets things done. They are essential for groups like neighborhood associations because they provide structure, stability, and transparency for efficient operations and ensure legal compliance with state and local regulations.
-
While our bylaws were last updated in 2012, they have remained largely unchanged since 1995. They've served us well, but a lot has evolved in how neighborhood associations — and KNA — operate. This feels like the right time for KNA to modernize our bylaws by amending them to reflect current realities and set KNA up for long-term success.
-
In February, the KNA Board of Directors approved the Governance Committee to serve as the Bylaws committee to begin a comprehensive and collaborative approach to reviewing the current bylaws, researching best practices, and drafting updates. The committee is dedicated to keeping the things that work and updating what doesn’t.

Changes you'll see generally fall into a few categories:
Updating or removing sections that are outdated or unclear.
Ensuring our governing documents reflect how KNA actually operates.
Adding standard good governance language that modern nonprofit bylaws typically include
Bringing related sections together so the bylaws are easier to navigate.
Better defining terms and areas that have been ambiguous or caused confusion.
Major Changes
How the Membership Elects Directors and Officers
The draft more clearly defines the Board of Directors election process. This includes saying that Members vote for Director first, then chooses Officers from among those Directors. The Members still vote for Directors and Officers. The only change is that the votes happen one after the other instead of all at once.
Balancing Directives and Flexibility
In some areas the draft balances clear and transparent directives with flexibility. For example, with exception of the Grievance Committee, specific committees are not listed. This is to allow the Board to adjust its committee structure quickly while remaining in compliance with the Bylaws.
Format and Layout
The draft Bylaws have a new look! A table of contents, definitions, page numbers, and references enhance readability. Some articles have been combined or repositioned to create a more cohesive and streamlined document.
